1. Acceptance of Terms

By accessing or using the Moduvo platform ("Service") operated by Moduvo.app s.r.o. ("Moduvo," "we," "us," or "our"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you must not use the Service.

We reserve the right to modify these Terms at any time. We will notify you of significant changes via email or through the Service. Your continued use of the Service after changes constitutes acceptance of the updated Terms.

2. Eligibility

You must be at least 16 years old to use the Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Account Registration

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your password and account
• Notify us immediately of any unauthorized access or use of your account
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms or are inactive for an extended period.

4. Use of the Service

4.1 Permitted use

You may use the Service for lawful purposes in accordance with these Terms and your subscription plan. You may use the AI-generated outputs for your personal or business needs.

4.2 Prohibited use

You may NOT use the Service to:

• Violate any applicable law or regulation
• Infringe on the rights of others
• Generate harmful, abusive, hateful, or discriminatory content
• Attempt to reverse-engineer, decompile, or extract the underlying AI models
• Use automated systems (bots, scrapers) to access the Service without permission
• Resell, sublicense, or redistribute the Service or its outputs as a competing product
• Circumvent usage limits, rate limits, or security measures
• Upload malware, viruses, or malicious code

5. Subscriptions & Billing

Certain features of the Service require a paid subscription. By subscribing, you agree to the following:

• Billing cycle: Subscriptions are billed monthly or yearly, depending on your chosen plan.
• Automatic renewal: Subscriptions auto-renew unless you cancel before the end of the current billing period.
• Price changes: We will notify you at least 30 days in advance of any price increases.
• Refunds: We do not offer refunds for partial billing periods. If you cancel, you retain access until the end of your current period.

6. Intellectual Property

6.1 Our intellectual property

The Service, including its design, code, AI models, templates, and documentation, is owned by Moduvo.app s.r.o. and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without our written consent.

6.2 Your content

You retain ownership of all content you input into the Service. By using the Service, you grant us a limited license to process your content solely to provide the requested functionality. We do not claim ownership of your content or use it to train AI models.

6.3 AI-generated outputs

You may use AI-generated outputs from the Service for your personal or business purposes. However, AI outputs are provided "as is" and you are responsible for reviewing and validating them before use.

7. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data. By using the Service, you consent to our data practices as described in the Privacy Policy.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, error-free, or secure
• AI-generated outputs will be accurate, complete, or reliable
• The Service will meet your specific requirements

You are solely responsible for evaluating and validating any AI-generated content before use.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MODUVO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR REVENUE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

Our total liability for any claims arising under these Terms shall not exceed the amount you paid to us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Moduvo, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

11. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms, with or without notice. Upon termination, your right to use the Service ceases immediately. You may request export of your data within 30 days of termination.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Czech Republic. Any disputes arising from these Terms shall be resolved in the courts of the Czech Republic. For EU consumers, this does not affect your rights under mandatory consumer protection laws in your country of residence.

13. Miscellaneous

• Severability: If any provision of these Terms is found invalid, the remaining provisions shall continue in full force and effect.
• Waiver: Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.
• Entire agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Moduvo regarding the Service.
• Assignment: You may not assign your rights under these Terms without our consent. We may assign our rights without restriction.
